These Terms of Service ("Terms") are an agreement between BaneyGroup LLC ("RightLine", "we", "us") and the chiropractic practice that uses RightLine Check ("you"). They cover RightLine Check, our website at rightline.io, demos and support (the "Service"). You accept them by checking the box at checkout, signing in, or using the Service. Our Privacy Policy, Refunds and cancellation policy and Disclaimer are part of these Terms.
Who may use the Service
To subscribe, you must be a chiropractic practice located in the United States (the 50 states and the District of Columbia), using the Service for your business and not for personal, family or household purposes.
If you accept these Terms for a practice, you confirm you have authority to bind it. Everyone who uses the Service must be at least 18 and work for or with your practice.
Accounts and sign-in links
After your first payment, we set up your office and send each person a personal sign-in link within two business days, and we offer your team a short walkthrough call. Each doctor (DC) gets their own login and sets a 6-digit PIN. Sign-offs carry the DC's name and credential, so only that DC may use their login and PIN. Front-desk and billing staff use a staff seat.
- Keep sign-in links private like passwords: don't forward or post them, and open them only on devices your practice controls.
- Tell us right away when someone leaves, or when a link, PIN or device may be lost or exposed. Your admin or RightLine can reissue a link, which signs that person out on every device.
You're responsible for activity under your practice's logins.
Acceptable use
No real patient information. Until we tell you in writing that real patient information is allowed, use only sample, de-identified or made-up details, and don't enter real patient information anywhere in the Service, our forms, or messages to us. Before we allow any use with real patient information, we will offer you a Business Associate Agreement (BAA), and that use may start only after we've both signed it. If real patient information is entered by mistake, tell us at support@rightline.io, without including the information itself.
You also agree not to:
- share a login, sign-in link or PIN, or use someone else's;
- resell the Service or provide it to anyone outside your practice;
- reverse engineer the Service or try to extract its source code or rule logic, except where the law allows it despite this limit;
- scrape or bulk-copy rules or results, or use the Service to build a competing product;
- get around or test our security, rate limits or PIN lockout, or interfere with the Service;
- use the Service to break the law, including to submit false or misleading claims.
Subscriptions, billing and refunds
Plan. RightLine Check is a monthly subscription for each office. The price, what it includes and the price of extra doctor logins (a monthly add-on) are shown on our pricing page and at checkout. Prices are in US dollars. Taxes may apply, and you're responsible for them, other than taxes on our income.
Billing. We bill in advance each month through Stripe, our payment processor, and your subscription renews automatically until you cancel. You authorize us, through Stripe, to charge your payment method each month for your subscription and add-ons. Stripe handles card details, which don't touch our servers, and Stripe's terms and privacy policy apply to that processing.
Price changes. We'll email your billing contact at least 30 days before a new price applies to your subscription. If you don't want to pay it, cancel before it takes effect.
Failed payments. If a payment fails, Stripe may try again. If it stays unpaid, we may pause your office's access until it's paid, or cancel the subscription.
Cancellation. Cancel anytime from your billing page or by emailing us. Cancellation takes effect at the end of the billing period you've paid for, and your office keeps access until then.
Refunds. If you ask within 30 days of your first payment, we'll refund that payment in full and end your subscription. Otherwise we don't give refunds or credits for partial periods or unused time, except as these Terms say or the law requires. See Refunds and cancellation. If you think a charge is wrong, please contact us before disputing it with your bank.
Free demo on sample claims
A free demo on sample claims isn't a subscription and doesn't obligate you to buy. These Terms, including the patient information rule above but not the billing sections, apply to any demo access we give you.
Your responsibilities
You and your billing staff remain responsible for every claim you submit, the codes and modifiers on it, and the documentation behind it. That includes reviewing each result, deciding what to bill, knowing your payer contracts and current payer policies, and following the laws that apply to your practice, including HIPAA, state law and record-keeping rules. You're also responsible for:
- keeping your records in your EHR or other record system. RightLine Check isn't a medical record or billing system, and note text on the device is wiped at the end of each day and when you sign out;
- keeping the devices and browsers you use secure, and following any setup guidance we give you;
- making sure your users follow these Terms.
No guarantee of payment, and not advice
RightLine Check flags likely problems. "No issues found" means no issues were found by RightLine's rules. It is not a guarantee of payment, and it doesn't mean a claim will be accepted, paid or upheld on audit.
RightLine Check checks against public payer rules, not your own contract. It isn't legal, billing, coding or medical advice, and it doesn't diagnose or recommend treatment. It doesn't check code pairs (NCCI edits), a patient's own coverage, benefits, visit limits or visits left (visit-count checks rely on the numbers you enter), or each Medicare Advantage plan's own rules. Its Medicare Part B checks use national rules in every state, plus some of the contractor edits and policies for Novitas, WPS, CGS and Palmetto GBA. Payer rules change, and ours may lag behind. Our Disclaimer lists what isn't checked.
Your information
RightLine Check runs the check in your browser. Your note text stays on your device, and we don't receive your note text. We do keep some information, such as account names, roles and credentials, and records of sign-offs and acknowledgements (the visit ID, rule IDs, reason codes and who signed off or acknowledged). Those records are kept in a tamper-evident audit log for 7 years, including after your subscription ends.
You keep ownership of the information you provide. You give us permission to host, copy and use it as needed to provide, secure, support and improve the Service, as our Privacy Policy describes.
Intellectual property
We and our licensors own the Service, including its software, rules, wording and design. While your subscription is active, we give your practice a limited, non-exclusive, non-transferable right to use the Service for its internal business. We keep all other rights. Don't use the RightLine name or logo without our written permission.
CPT. The Service uses CPT codes, which belong to the American Medical Association (AMA). You may use CPT content in the Service only for your practice's internal use while your subscription is active, and may not copy, publish or distribute it. If the AMA requires more end-user terms, we'll add them to these Terms or show them in the Service, and they'll apply to you. CPT only copyright 2025 American Medical Association. All rights reserved. CPT is a registered trademark of the AMA.
Feedback
If you send us feedback or suggestions, including inside RightLine Check, we may use them for any purpose without owing you anything.
Confidentiality
Each of us will use the other's nonpublic business information only to carry out these Terms, protect it with reasonable care, and share it only with people who need it and must keep it confidential. This doesn't cover information that is public through no fault of the receiver, or that the receiver already had, developed or lawfully got elsewhere. Either of us may disclose information the law requires, with notice when allowed. Patient information may be used in the Service only under a signed BAA; if any reaches us by mistake, we'll handle it as our Privacy Policy describes.
Availability and changes to the Service
RightLine Check is new, pilot-stage software. It may have errors or downtime, and we don't promise any uptime or that stored information won't be lost. We may add, change or remove features and rules at any time. If a change would materially reduce the core of the Service you pay for, we'll tell you in advance when we reasonably can, and you may cancel.
Suspension and termination
We may suspend access, with notice when practical, for unpaid fees or a likely breach of the Acceptable use section, to protect the Service, customers or patients, or when the law requires. We'll restore access once the problem is fixed.
We may end your subscription if you materially break these Terms and don't fix it within 10 days of notice, or right away for a serious breach, such as entering real patient information or sharing logins outside your practice. We may also end it for any other reason with at least 30 days' notice, and then refund any fees you prepaid for time after it ends.
When your subscription ends, your users can no longer sign in. Saved visits stay in each browser until someone signs out there, so sign out on each device before then. Audit log records are kept for 7 years as described above. Sections that by their nature should continue, such as those on fees owed, ownership, confidentiality, disclaimers, liability, indemnity and governing law, survive.
Disclaimer of warranties
The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranty that the Service will be error-free, uninterrupted or secure, or that any claim you submit will be paid.
Limitation of liability
To the fullest extent the law allows:
- Neither of us will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible. For claims against us, this includes losses from denied, reduced or recouped payer claims, overpayment demands, audit costs, and payer or government penalties.
- Our total liability for all claims relating to the Service or these Terms is limited to the amount you paid us for the Service in the 12 months before the event that gave rise to the claim, or $100 if you haven't paid us anything.
These limits apply under any legal theory, including contract and negligence. They don't limit your obligation to pay fees, your indemnity obligations, your breach of the Acceptable use section, either party's liability for fraud or willful misconduct, or any liability the law doesn't allow to be limited.
Indemnity
You'll defend BaneyGroup LLC and its owners, employees and agents against any third-party claim, including one by a patient, payer or government agency, to the extent it arises from your or your users' breach of the Acceptable use section (including its patient information rule) or violation of law. You'll pay the resulting damages, settlements and reasonable legal costs. We'll tell you promptly about the claim, let you control its defense, and cooperate at your expense. You won't settle it in a way that admits fault for us or binds us without our written consent.
Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Before suing, each of us will first tell the other about the dispute and allow 30 days to resolve it informally. Any lawsuit must be brought in the state or federal courts located in Wyoming, and each of us consents to their jurisdiction. Either of us may seek urgent court relief to protect confidential information or intellectual property.
Changes to these Terms
We may update these Terms by posting a new version here with a new date. For a material change, we'll email your billing contact at least 30 days before it applies to you. Using the Service after that means you accept it; if you don't agree, cancel before then.
General
- Whole agreement. These Terms, the policies they link to, and any BAA or order we both sign are the whole agreement about the Service. If a signed BAA conflicts with these Terms about patient information, the BAA controls.
- Notices. We send notices by email to your billing contact or in the Service. Send notices to us at the contact details below.
- Transfer. You may not transfer these Terms without our written consent. We may transfer them in a merger, sale or reorganization, with notice to you.
- Other terms. Neither of us is responsible for delays caused by events beyond reasonable control, except for paying fees. Not enforcing a term isn't a waiver. If a term is unenforceable, the rest stays in effect. We're independent parties, not partners or agents.
